HSE is seeking a corporate attorney with at least four years of significant transactional experience for the firm’s Rochester or Buffalo office. The ideal candidate will have meaningful experience in mergers and acquisitions, corporate finance and/or corporate restructuring, capital raising, and general corporate matters. Candidates must have excellent drafting and negotiation skills and a strong academic background. Candidates should have experience taking leading roles in transactional projects, managing multiple deals and workstreams and managing internal and external relationships in those contexts.

Harter Secrest & Emery LLP is seeking a mid- to senior-level Employee Benefits attorney for the firm’s Rochester, Buffalo or Albany office. Remote arrangements will be considered on a case by case basis. The ideal candidate will have four to ten years of experience with Employee Benefits law. Preferred candidates will have experience with all areas of employee benefits, including but not limited to, ERISA, the design, establishment, maintenance and operations of various retirement, welfare, and fringe benefit plans, and knowledge of employee benefits laws, regulations, and compliance requirements.  Candidates must have excellent oral and written communication skills and a strong academic background. HSE is seeking an attorney with one to seven years of experience for the firm’s executive compensation practice. The qualified candidate will preferably have experience with the following aspects of an executive compensation practice: equity compensation plans for private and public companies, executive employment agreements, executive compensation issues in mergers and acquisitions, proxy compensation disclosure rules, and the provisions of the Internal Revenue Code (Sections 83, 280G, 409A, 457(f) and 457A). The firm will consider candidates with tax, employee benefits or executive compensation experience. Experience representing issuers and investment banks in public and private offerings of securities, advising publicly traded companies on compliance with the Securities Exchange Act of 1934, exchange listing standards and corporate governance required. Candidates must have relevant prior law firm experience, ability to work collaboratively in a team environment, strong work ethic and excellent oral and written communication skills. Harter Secrest & Emery LLP is seeking a senior healthcare attorney with ten or more years of experience in healthcare law. A portable and sustainable book of business is desired. Candidates must have experience with:

  • Hospital/physician alignment issues;
  • Health care entity and physician practice mergers, acquisitions and affiliations;
  • Regulatory investigations and corporate compliance programs; and
  • Experience with core areas such as Fraud and Abuse, Medicare/Medicaid anti-kickback, Stark, HIPAA, ACO and health care reimbursement.
