Best Practices for Negotiating and Drafting Software License Agreements

Intellectual Property attorney Jodi Reynolds will serve as a guest speaker at an upcoming CLE hosted by the Monroe County Bar Association entitled, "Best Practices for Negotiating and Drafting Software License Agreements."

This CLE will provide business and transactional attorneys with the best practices involving software license agreements, including an understanding and overview of the critical elements in a software license agreement, and the common challenges that often arise during the course of drafting and negotiating those agreements.

Topics include:

  • Key provisions that should be included in every software agreement, including risk allocation provisions (indemnification, representations and warranties, and limitations of liability).
  • An overview and tips regarding specific types of agreements, including EULAs (end-user license agreements) and SaaS (software as a service) agreements
  • Intellectual property issues
  • Protecting IP with software escrow - why, when and how? The presentation will emphasize solutions and suggestions for transactional attorneys, drawing on the presenter's experience and in-depth knowledge.
