Harter Secrest & Emery LLP, a full-service business law firm with offices throughout New York, announced that senior associates Diana R. Clarkson and Daniel W. Collins were both honored by The Daily Record as Up & Coming Attorneys in the paper’s 2018 Excellence in Law awards.
A member of Harter Secrest & Emery’s Tax and Trust & Estates practice groups, Clarkson represents individuals and business owners in a variety of federal and state tax, business succession and wealth transfer and estate planning matters. Her experience includes analyzing, structuring, and drafting documents for mergers and acquisitions, private equity transactions, tax-free spin-offs, and debt restructurings. She counsels clients on entity formation and business structure implementation with a focus on limited liability companies, helps clients analyze and correct employment tax issues, and represents clients in the negotiation of audits with local, state, and federal tax authorities. In addition, Clarkson represents individuals, families, and closely-held business owners in implementing estate planning strategies through entity reorganizations, shareholders agreements, wills and trusts.
Clarkson is an active community volunteer, serving as the board chair for the American Red Cross Greater Rochester Chapter, and board member and Audit Committee Chair for Allendale Columbia School, where she also serves as an attorney coach for the Mock Trial team. She has been a long-term volunteer at Volunteer Legal Services Project’s Family Law Clinic, and is also active with the Princeton Club of Rochester, the American Bar Association, and the Allendale Columbia School Alumni Association. Clarkson is a graduate of Princeton University and The College of William and Mary School of Law.
Collins is a member of the Corporate practice group at Harter Secrest & Emery. He represents family-owned and other private businesses in a wide variety of legal matters. Collins advises clients on various transactional documents relative to the formation, operation, ownership, and management of businesses. He also advises clients regarding all facets of the formation, ownership, operation, transfer, and termination of business entities. Collins has extensive experience in representing clients across various industries in connection with a variety of business combination transactions including mergers, equity and asset-based acquisitions and divestitures, capital raising transactions, investment transactions, and joint venture arrangements.
Collins volunteers in support of several community organizations, including the Veterans Outreach Center, and the Boys & Girls Club of Rochester. He is also involved with the Monroe County Bar Association, the American Bar Association, and the Cornell Football Association. Collins is a graduate of Cornell University and a former Division I collegiate football player who earned his law degree, summa cum laude, from New England School of Law.
