Ed represents clients in all aspects of corporate transactions and equity investments, including mergers and acquisitions, private equity, venture capital, joint ventures, strategic partnerships, complex commercial arrangements, and general corporate governance matters. With a focus on efficiently achieving his clients’ business goals, Ed employs a highly organized approach to guiding clients through the many moving pieces of a transaction.

Ed has advised private equity funds, venture capital investors, operating companies and entrepreneurs. His experience spans a variety of industries including aerospace, B2B software and SaaS, energy, financial services, fitness, food products and packaging, healthcare, infrastructure, investment management, logistics, manufacturing, pharmaceuticals, and transportation.  In his practice, Ed often advises businesses with operations and activities spread around the country and around the world.

Prior to joining Harter Secrest & Emery, Ed worked with Dechert LLP in New York City and Morgan, Lewis & Bockius LLP in Pittsburgh. Ed began his career practicing in the New York City office of Kirkland & Ellis LLP.

Mergers and Acquisitions
Ed advises and advocates for clients in all stages of the M&A process, from term sheets to closings, in both domestic and cross-border deals. He takes a client service-oriented approach to handling legal issues and is adept at drafting and negotiating agreements, coordinating due diligence, and managing transactional signings and closings.

Private Equity and Venture Capital
Ed counsels private equity and venture capital funds, and portfolio companies, in a broad range of corporate transactional matters and on the mechanisms available to them to fund their business ventures, manage corporate governance, and achieve their business goals. Leveraging the expertise of our employee benefits, labor, intellectual property, tax, real estate, and environmental attorneys, he coordinates multiple works streams and offers clients sophisticated and creative structuring solutions.
