Erika Wood is a Tax and Corporate attorney who thrives on translating technical details to practical solutions and bringing optimism to challenging situations. She advises individuals, for-profit, and nonprofit entities on all facets of New York State and federal tax. Always with an eye on tax implications, Erika also counsels clients on broad-ranging corporate and legal matters regarding ownership, operation, transfer, and the termination or sale of businesses across industries.

Tax
Erika’s tax experience includes advising clients on a wide range of tax compliance and reporting issues. She assists clients in navigating tax risks, obtaining tax credits and structuring transactions, including tax-free reorganizations. She also represents clients in disputes with the New York State Department of Taxation and Finance and the Internal Revenue Service.

Corporate
Her corporate law experience includes advising clients with respect to business planning, mergers and acquisitions, complex joint ventures, restructurings, commercial financings and fundraising. Erika works closely with clients to draft agreements that reflect their business vision while mitigating risks. She also has experience drafting and negotiating complex partnership and operating agreements, shareholder agreements, stock, asset and real estate purchase agreements.

Prior to joining Harter Secrest & Emery, Erika was a principal with Hinman Straub, P.C. in Albany, New York. She started her career in New York City with Milbank LLP where she earned her LLM in Taxation from NYU.
