As a member of the firm’s Securities and Capital Markets practice group, Spencer conducts legal research, due diligence, and analysis on a variety of client matters.
Prior to joining Harter Secrest & Emery, Spencer gained valuable experience in a variety of legal and business roles. As a Legal Associate with Morgan Stanley Capital International, he drafted briefs on financial law and regulation and reviewed commercial contracts, underwriting agreements, and regulatory findings. He later served as a Contracts Assistant with The Research Foundation for SUNY, where he drafted and negotiated licensing agreements, nondisclosure agreements, and material transfer agreements. Spencer also worked as a Mergers and Acquisitions Shareholder Liaison for TerraFarma, Inc. where he prepared financial summaries, feedback, and advised shareholders on processes and outcomes throughout the acquisition process.
In law school, Spencer served as a Student Attorney in the University at Buffalo School of Law Entrepreneurship Law Center Clinic, where he advised startups and small businesses on entity selection, governance structure, and early-stage legal strategy, and drafted and reviewed formation documents and related contracts.
