Private Equity and Venture Capital
The attorneys in our Private Equity and Venture Capital practice area have substantial experience representing private equity and venture capital funds, portfolio companies, start-up companies and management teams in connection with leveraged buyouts and recapitalizations, mergers and acquisitions, venture financings, public offerings, executive compensation and other corporate matters. We also represent clients in connection with the organization and operation of funds, as well as, their respective management companies. We also regularly represent and advise private institutional investors in connection with their investments in private equity, mezzanine, venture, hedge and other funds.

Leveraged Buyouts and Recapitalizations
We act as counsel to private equity funds, portfolio companies, and management teams in all aspects of leveraged acquisitions, recapitalizations, and other related private equity transactions, including acquisitions and divestitures, senior and mezzanine financing, equity financing, and seller financing. Leveraging the expertise of our corporate, finance, tax, and executive compensation practices, we offer clients sophisticated and creative structuring solutions for complex transactions in an efficient and cost effective manner.
Venture Capital Financing
We have substantial experience representing venture capital investors and portfolio companies in private equity transactions from seed stage and first round investments to later stage and follow-on investments. Together with attorneys in our Securities and Mergers, Acquisitions and Divestitures Practice Areas, we advise our fund and portfolio company clients in connection with private placements, structuring, and executing exit and partial liquidity transactions.
From the enterprise side, we offer a broad range of services in support of all aspects of establishing and growing the company, including business plan review, business structuring, and debt and equity financing.
We routinely advise entrepreneurs and emerging businesses on the mechanisms available to them to fund their business ventures.
Private Fund Representation
We represent private equity sponsors in connection with the formation and management of their funds. Our expertise also includes advising clients on the increasingly complex regulatory regime applicable to private funds and their sponsors. In addition, we regularly advise institutional and family office investors in connection with their investments in a variety of private funds, including, private equity and venture capital funds, hedge funds, mezzanine funds, and other private pools of capital. Our representation includes particular expertise in advising pension fund clients on the complex ERISA, tax, and other legal and regulatory matters involved in their investment in such private funds.
